Welcome to Almighty Wings Productions (AWP)! We’re dedicated to creating uplifting Christian video production and faith-based TV series to #TakeBackEntertainment. These Terms and Conditions (“Terms”) govern your use of our website, including our Referral Program, Donations, and Investor Portal NDA request process. Please read them carefully—because we’re all about inspiring stories, not legal dramas!

1. General Eligibility

Our services are open to individuals and entities who are at least 18 years of age and reside in the United States. By using our website, you agree to these Terms. Employees, contractors, or immediate family members of AWP are not eligible for the Referral Program.

2. Referral Program

Submit referrals via our Refer a Client page. AWP will contact the client for projects like faith-based TV series. You’ll earn a 10% commission on the project’s contract value (minimum $1,000), paid by check within 30 days of client payment, if AWP delivers the final product and receives full payment. AWP is not liable if the client cancels or fails to pay. Commissions are subject to AWP’s discretion. Referrers earn 10% commission on paid projects (minimum $1,000 contract). AWP issues 1099-NEC forms for payments exceeding $600 annually.

3. Donations

Donations support our mission to create family-friendly entertainment production. AWP is a for-profit company, so donations are not tax-deductible. Funds are used at our discretion for projects, equipment, or outreach, and are non-refundable. AWP will issue a 1099-NEC form for annual donations exceeding $600, as required by the IRS.

4. Investor Portal NDA Request

By submitting an NDA request on our Investors page, you agree to receive and sign an NDA via DocuSign to access the Investor Portal. The NDA protects our confidential project concepts and business plans. AWP is not obligated to enter into any investment agreements following NDA signing. Investment opportunities are subject to separate agreements and applicable securities laws. Investment opportunities are not securities offerings and are subject to separate agreements. We do not provide investment advice.

5. Tax Responsibilities

Referral commissions and donations are taxable income for AWP. Referrers and donors are responsible for reporting earnings to the IRS. AWP will issue 1099-NEC forms for annual payments exceeding $600. Investors should consult their tax advisors regarding investment-related tax implications.

6. Independent Contractor Roles (Sales Agents)

Commission-only sales agents earn 10–20% per contract based on project size, operating as independent contractors under a separate agreement. Contact us at Contact@AlmightyWingsProductions.com for details.

7. Limitations of Liability

AWP is not liable for losses arising from your use of our website, Referral Program, donations, or NDA request process, including disputes, delays, or incorrect information. AWP reserves the right to disqualify referrals, withhold commissions, or deny portal access if fraud or violation of these Terms is suspected.

8. Termination and Modification

AWP may modify or terminate any program at any time, with or without notice. Ongoing commissions or portal access will be honored per these Terms unless terminated due to a violation. Changes to these Terms will be posted here, and continued use constitutes acceptance.

9. Governing Law and Dispute Resolution

These Terms are governed by Tennessee law. Disputes will be resolved through good-faith negotiation or in the state or federal courts of Knox County, Tennessee, with no right to a jury trial.
